Terms & conditions
Version 2 · 1 November 2026 · translation of the Dutch text
1. Who and what
- These terms apply to all quotes, assignments and agreements of Vanpey, sole proprietorship in Maastricht, the Netherlands, Chamber of Commerce (KvK) 94132054, VAT ID NL005067470B12, email info@vanpey.nl, Heugemerstraat 223, 6229 AP Maastricht, hereinafter “Vanpey”.
- “Client” is the business, organisation or person who gives Vanpey an assignment. “Consumer” is a client who is not acting for a trade or business.
- Vanpey sends these terms with every quote. Deviations only apply if agreed in writing; email is enough. The client's own terms do not apply unless Vanpey accepts them in writing.
2. Quote and assignment
- A quote is valid for 30 days and states what Vanpey will make, the number of revision rounds, the schedule and the price.
- The agreement is concluded as soon as the client accepts the quote in writing or by email.
- Prices for businesses exclude 21% Dutch VAT. For consumers the quote shows the total price including VAT. Prices on the website are starting prices; the price in the quote is binding.
- An obvious mistake or typo in a quote does not bind Vanpey.
3. Carrying out the work
- Vanpey carries out the assignment with care and to the best of its ability. This is an obligation of effort, not of result.
- The client supplies the texts, images, logins and information needed in good time. If they arrive later, the schedule moves accordingly.
- The price includes two revision rounds per part, unless the quote says otherwise. Extra rounds or new wishes are additional work.
- Vanpey may involve third parties for parts of the work (such as printing or hosting). Third-party costs are discussed in advance.
- A schedule is a guideline, not a binding deadline, unless expressly agreed otherwise. If Vanpey is at risk of missing a date, Vanpey says so as soon as possible.
4. Additional work
Work that is not in the quote is only done after the client agrees, and is charged at the hourly rate in the quote or at a fixed price agreed in advance.
5. Delivery and approval
After delivery the client has 14 days to report errors. After that, or as soon as the work is put to use (for example a website going live or print being produced), it counts as approved. Errors made by Vanpey are still fixed free of charge after that. The client checks print proofs and texts before anything is printed or published.
6. Payment
- For assignments from €1,000 Vanpey invoices 50% at the start and 50% on delivery. Smaller assignments are invoiced on delivery. Subscriptions (such as hosting) are invoiced monthly or yearly in advance. A consumer never pays more than 50% in advance.
- Invoices are due within 14 days of the invoice date.
- If payment is late, Vanpey sends a reminder with a new deadline of 14 days. If a business still does not pay, it owes the statutory commercial interest and collection costs according to the statutory scale. A consumer first receives a free reminder with 14 days to pay; only after that does the consumer owe statutory interest and collection costs.
- As long as an invoice is unpaid, Vanpey may suspend further work.
7. Rights to the design
- Copyright and other rights in everything Vanpey makes stay with Vanpey, unless stated otherwise below or in the quote.
- After full payment the client receives a licence to use the delivered work for the purpose stated in the quote. Any other use is agreed first.
- For a logo and visual identity, Vanpey transfers the copyright to the client after full payment. The transfer is made by a separate deed of assignment signed by both parties, as Dutch copyright law requires. Vanpey waives the right to be named as the maker, but may show the work in its portfolio (clause 6).
- Sketches, variants and designs that were not chosen remain Vanpey's.
- Fonts, photos and software from third parties fall under the licence of those third parties. Vanpey says in advance if there are costs involved.
- Vanpey may show the work in its own portfolio and on social media, unless the client objects or confidential information is involved.
8. Material supplied by the client
The client guarantees that supplied texts, images and logos may be used and do not infringe anyone else's rights, and indemnifies Vanpey against claims arising from this. For consumers this only applies as far as the law allows.
9. Confidentiality and personal data
- Vanpey and the client keep each other's confidential information secret, even after the assignment ends.
- If Vanpey processes personal data for the client, for example of visitors to a website hosted by Vanpey, we sign a data processing agreement for that. How Vanpey itself handles data is set out in the privacy policy.
10. Liability
- Vanpey's liability is limited to the invoiced amount of the assignment concerned, and for subscriptions to the amount of the last six months.
- Vanpey is not liable for indirect damage, such as lost revenue, or for outages at parties such as hosting companies, payment providers and email services.
- These limits do not apply in case of intent or gross negligence, nor where the law does not allow them for consumers.
- A claim must be reported to Vanpey in writing within one year after the client discovered the damage. For consumers the statutory time limits apply.
11. Force majeure
If Vanpey temporarily cannot deliver because of force majeure, such as illness, an outage at a third party or a power or internet failure, the schedule is postponed. If this lasts longer than 60 days, either party may end the assignment. Work already done is then paid for proportionally.
12. Hosting and maintenance
Hosting and maintenance subscriptions run per month and can be cancelled with one month's notice to the end of a month, unless agreed otherwise. Vanpey takes care of updates and backups, but cannot guarantee uninterrupted availability. On cancellation the client receives all files and help with moving. A consumer can always cancel a subscription monthly.
13. Stopping early
If the client stops an assignment early, the client pays for the work done until then, plus costs Vanpey has already incurred. A consumer can also use the right of withdrawal in clause 14.
14. Consumers and right of withdrawal
- If a consumer concludes the agreement at a distance (for example by email, phone or via the website) or off-premises, the consumer has 14 days to withdraw, starting on the day the agreement was concluded. Withdrawal needs no reason and is done by a clear statement, for example an email to info@vanpey.nl, or with the model form below. Vanpey confirms receipt by email.
- Vanpey only starts within those 14 days if the consumer expressly asks for it. If the consumer then withdraws, the consumer only pays for the part of the work already done, in proportion to the total price.
- If the consumer expressly asked to start right away and acknowledged that the right of withdrawal is lost once the assignment is fully performed, the right of withdrawal ends when the assignment has been fully performed.
- After a withdrawal, Vanpey refunds anything the consumer overpaid within 14 days, using the same payment method.
- Consumers always keep the rights the law gives them; these terms do not take anything away from them.

15. Complaints
Not happy? Email info@vanpey.nl with a clear description, within a reasonable time after you discover the problem. You get a substantive reply within 14 days, and we first look for a solution together.
16. Law and disputes
Dutch law applies to all agreements. If we cannot work it out together, the court in the district of Limburg (Netherlands) has jurisdiction. For a consumer, the court that has jurisdiction by law is competent, and consumers keep the protection of the mandatory law of their own country. If this translation differs from the Dutch text, the Dutch text prevails.
